Agreement: It is understood that by signing the agreement (available here in pdf format), an Agreement has been reached between the company referred to on the proposal form, the client, and Elementally Ltd for work to be carried out as specified in the proposal.
Cost: Referred to in the proposal is an all-inclusive rate quoted in advance of the work commencing. The cost of any exceptional expenses incurred by Elementally as a result of carrying out the work will be estimated by Elementally and communicated to the client before they are incurred. On the client agreeing to these additional expenses, the cost will be added to the relevant invoicing stage.
Additional work: Any additional requirements that are proposed after the commencement of this Agreement may lead to additional costs. The cost of any additional work requested by the client that is outside the terms of reference of this Agreement will be estimated by Elementally and agreed with the client before any of this additional work is carried out. On completion of any additional work, the cost will be added to the relevant invoicing stage.
Payment: For proposals of less than £600, the full amount is required to be paid on commencement of the agreement. For proposals between £600 and £2000, a deposit of 50% is required to be paid on commencement of the agreement; thereafter payment is immediately due on receipt of invoice. For proposals of £2000 and over, a deposit of 30% is required to be paid on commencement of the agreement; thereafter payment is immediately due on receipt of invoice. A final invoice is raised on completion of the work. Alternative arrangements may be made in advance of the works commencing, to allow for staged payments or alternative timescales.
Agreement period: The Agreement to carry out work as specified in this proposal starts from the signing of this proposal form (and receipt of deposit payment) and extends to final invoicing. The work is deemed to be accepted at the time of the final payment.
Webmaster Service: Where a webmaster service is provided, this will run for a period of one year from completion of the work. The client will be invoiced annually at least 14 days prior to this date.
Due Care: Elementally undertakes to exercise reasonable endeavours to ensure that the work is carried out in a professional manner in compliance with good industry practice and all applicable laws and regulations.
Disclosure of documents: Elementally will not disclose any information made available by the client, without their prior consent.
Sub contractors: Elementally may use trusted associates to deliver a full service to the client, depending on requirements.
Installation: Should the client require the website to be hosted on their own servers, the client must undertake to provide the relevant information and access necessary, or take full responsibility for such following the website being provided to the client on a CD.
Dispute resolution: In the unfortunate event of an unresolvable dispute between the client and Elementally, both parties agree to go to arbitration.
